1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and RiskApplication Limited ("Company", "we", "us", or "our") governing your use of the RiskApp service, including our web application, mobile applications, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Service.

2. Service Description

RiskApp is a cloud-based risk assessment management platform that enables organizations to create, manage, track, and report on risk assessments. Our Service includes:

• Web-based dashboard for risk assessment management
• Mobile applications (iOS and Android) for field assessments
• Team collaboration and workflow tools
• Reporting and analytics features
• Document storage and management
• Integration capabilities via API

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to users.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must:

• Be at least 18 years of age
• Provide accurate, current, and complete information during registration
• Maintain and update your account information as needed
• Have the authority to bind your organization to these Terms if registering on behalf of an entity

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Using strong passwords and enabling two-factor authentication when available

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we deem harmful to the Service, other users, or our business interests.

4. Subscription Plans and Billing

4.1 Free Trial

We offer a 14-day free trial for new users. No payment information is required to start your trial. During the trial you receive Team plan allowances. At the end of the trial, your account continues on the Free plan unless you choose a paid subscription; Free plan limits then apply.

4.2 Paid Subscriptions

Subscription plans are billed on a recurring basis (monthly or annually) based on your selected plan. By subscribing, you authorize us to charge your payment method:

• The subscription fee at the start of each billing period
• Any applicable taxes
• Additional charges for usage beyond plan limits (if applicable)

4.3 Pricing Changes

We reserve the right to change our pricing with at least 30 days' notice. Price changes will apply to renewals after the notice period. Existing subscriptions will maintain their pricing until the next renewal.

4.4 Refunds

Subscription fees are non-refundable except as required by law or at our sole discretion. If you cancel your subscription, you will continue to have access until the end of your current billing period.

4.5 Payment Processing

All payments are processed securely through Stripe. We do not store your complete payment card details. By providing payment information, you represent that you are authorized to use that payment method.

5. User Responsibilities and Acceptable Use

5.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit any harmful code, viruses, or malicious software
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use the Service to send spam or unsolicited communications
• Impersonate any person or entity
• Engage in any fraudulent activity
• Scrape, crawl, or harvest data from the Service without permission

5.2 Content Responsibility

You are solely responsible for all data, text, images, and other content you upload to or create within the Service ("User Content"). You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate any laws or third-party rights
• Your User Content does not contain confidential information you are not authorized to share

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including all software, designs, text, graphics, logos, and other content (excluding User Content), is owned by RiskApplication Limited and is protected by UK and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. This license does not include any right to:

• Modify, copy, or create derivative works of the Service
• Reverse engineer or attempt to extract source code
• Resell, rent, or lease the Service
• Remove or alter any proprietary notices

6.2 Your Intellectual Property

You retain all ownership rights to your User Content. By using the Service, you grant us a limited license to host, store, process, and display your User Content solely for the purpose of providing the Service to you.

7. Data Protection and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

8. Service Availability and Support

8.1 Service Availability

While we strive to provide reliable service, we do not guarantee that the Service will be uninterrupted, error-free, or completely secure. We may experience downtime for:

• Scheduled maintenance (with advance notice when possible)
• Emergency repairs or security updates
• Circumstances beyond our reasonable control

8.2 Customer Support

We provide customer support via email and our support portal. Support availability and response times may vary based on your subscription plan.

8.3 Data Backup

While we perform regular backups of Service data, you are responsible for maintaining your own backup copies of critical User Content.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use or inability to use the Service.
• Our total liability to you for all claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless RiskApplication Limited, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

11. Termination

11.1 Termination by You

You may terminate your account at any time by canceling your subscription through the Service settings or by contacting us. Upon termination, you will lose access to the Service at the end of your current billing period.

11.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if:

• You breach these Terms
• Your account is inactive for an extended period
• We are required to do so by law
• Providing the Service becomes unlawful or impractical

11.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will retain your User Content for a limited period (typically 90 days) to allow for account recovery. After this period, your data may be permanently deleted.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

12.2 Jurisdiction

You agree that any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Notify you via email or through the Service
• Provide at least 30 days' notice before material changes take effect

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RiskApplication Limited regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

14.5 Third-Party Services

The Service may contain links to third-party websites or services. We are not responsible for the content, privacy policies, or practices of third-party sites.

14.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, strikes, or government restrictions.
